Welcome to Silkydo. By accessing our website or engaging us to source, purchase, inspect, or ship goods on your behalf, you agree to be bound by the terms set out below. If you do not agree with any part of these terms, please do not use our website or services.

Definitions

In these Terms & Conditions:

  • “Silkydo”, “we”, “us”, “our” refers to Silkydo and its operating entities, including Silkydo LLC and its China-based operations.
  • “Client”, “you”, “your” refers to any individual or business that uses our website or engages our services.
  • “Services” means the sourcing, purchasing, supplier verification and audit, quality control and inspection, private label, dropshipping, and air, sea, and door-to-door logistics services we provide.
  • “Supplier” means any third-party factory, manufacturer, trader, or vendor from whom goods are sourced or purchased in connection with your order.
  • “Goods” means the products sourced, purchased, inspected, or shipped in connection with your order.
  • “Order” means a specific engagement in which you instruct us to provide Services.

About Silkydo

Silkydo is a sourcing, quality control, and logistics agency operating on the ground in China and serving importers worldwide. We act as your agent and intermediary in dealings with Suppliers; we are not the manufacturer of the Goods unless expressly stated in writing.

Acceptance of terms

By using our website, requesting a quote, or instructing us to carry out an Order, you confirm that you have the authority to enter into these terms (on your own behalf or on behalf of the business you represent) and that you accept them in full. A specific Order may be governed by an additional written agreement or quotation; where there is any conflict, the terms of that signed Order document prevail over these general terms.

Our services

We provide Services as an agent acting in your interest, which may include:

  • Supplier research, shortlisting, verification, and factory audits;
  • Price negotiation and purchasing on your behalf;
  • Sample collection, consolidation, and comparison;
  • Production follow-up and pre-shipment quality inspection;
  • Private label and product customization coordination;
  • Dropshipping fulfilment support;
  • Air, sea, and door-to-door freight, consolidation, and customs coordination.

The exact scope of any engagement is defined in the quotation or Order confirmation. We may decline any request at our discretion, including where a Supplier, product, or destination presents legal, ethical, or operational risk.

Quotes & pricing

Quotations, including any free 48-hour sourcing quote, are provided for your information and are based on details you supply and prices offered by Suppliers at the time of quoting. Unless stated otherwise, quotes are estimates and not binding offers. Supplier prices, exchange rates, freight rates, raw-material costs, and duties can change; final pricing is confirmed at the time an Order is placed and payment is due.

Our service fee is disclosed to you before you commit to an Order. We do not take undisclosed commissions from Suppliers; where a Supplier offers a rebate or incentive that affects your price, we disclose it.

Your obligations

You agree to:

  • Provide accurate, complete product specifications, quantities, target prices, and delivery details;
  • Respond to requests for approval (samples, specifications, artwork, inspection results) within a reasonable time, understanding that delays may affect lead times;
  • Ensure that the Goods you request may be lawfully manufactured, exported from China, and imported into your destination country;
  • Obtain any licences, certifications, or approvals required in your market;
  • Make payments in full and on time in accordance with the agreed Order.

Payments

Payment terms are set out in each Order and typically involve a deposit before production and a balance before shipment. Unless agreed otherwise:

  • Supplier costs, freight, duties, and our service fee are payable by you;
  • Payments are non-refundable once we have committed funds to a Supplier on your behalf, except to the extent we recover those funds;
  • We are not obliged to place an Order, release a Supplier deposit, or arrange shipment until cleared funds are received;
  • Bank charges, currency-conversion costs, and payment-processor fees are your responsibility.

Third-party suppliers

Goods are manufactured and supplied by independent third-party Suppliers. While we verify Suppliers and inspect Goods with reasonable care, we do not manufacture the Goods and do not warrant the acts or omissions of any Supplier. Title to the Goods and product warranties, where they exist, sit with the Supplier.

We use reasonable efforts to select reputable Suppliers and to resolve disputes with them on your behalf, including negotiating rework, replacement, or compensation. However, we cannot guarantee the outcome of any Supplier dispute, and our responsibility is limited to acting diligently as your agent.

Inspection & quality control

Where quality inspection is included in your Order, we inspect Goods against the specifications and acceptance criteria agreed with you, using sampling methods appropriate to the order. Inspection is carried out with reasonable skill and care but is based on sampling and visual, functional, and dimensional checks; it does not guarantee that every unit is free of defects, nor does it substitute for laboratory testing or certification unless expressly commissioned.

You are responsible for defining acceptance criteria and required certifications. If Goods fail inspection, we will document the issues and work with the Supplier on remedies before the Supplier balance is released, where the payment structure allows.

Shipping, delivery & customs

Delivery timeframes are estimates and depend on production, freight schedules, carrier performance, weather, port congestion, and customs. We are not liable for delays outside our reasonable control. Risk in the Goods passes according to the shipping terms (Incoterms) agreed in your Order.

You are the importer of record unless agreed otherwise and are responsible for import duties, taxes, VAT, and compliance in the destination country. Where we coordinate customs clearance or door-to-door delivery, we do so as your agent; final duty and tax liabilities remain yours.

Intellectual property

The silkydo.com website, including its text, design, logos, and graphics, is owned by Silkydo or its licensors and may not be copied or reused without permission. Any brand names, logos, artwork, or designs you provide for private label or customization remain your property; by providing them, you confirm you have the right to use them and authorise us and the Supplier to use them solely to fulfil your Order. You are responsible for ensuring your Goods do not infringe the intellectual property rights of any third party.

Prohibited goods & use

We will not source, purchase, inspect, or ship goods that are illegal, counterfeit, infringing, dangerous, or restricted under the laws of China, the destination country, or applicable international law. You agree not to use our Services or website for any unlawful purpose, and we may refuse or cancel any Order that breaches this clause without liability to you.

Limitation of liability

To the fullest extent permitted by law:

  • Our Services are provided with reasonable skill and care, but we give no warranties beyond those expressly stated in these terms or a signed Order;
  • We are not liable for indirect, incidental, consequential, or special losses, including loss of profit, revenue, business, or goodwill;
  • We are not liable for the acts, omissions, defaults, or insolvency of Suppliers, carriers, customs authorities, or payment providers;
  • Our total aggregate liability arising out of or in connection with any Order shall not exceed the total service fees paid by you to Silkydo for that Order.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnity

You agree to indemnify and hold harmless Silkydo, its entities, officers, and staff against any claims, losses, liabilities, and costs arising from your breach of these terms, your instructions, the Goods you order, your infringement of third-party rights, or your failure to comply with import or export laws.

Confidentiality

We treat the product ideas, specifications, pricing, and business information you share with us as confidential and do not disclose them to third parties except Suppliers and service providers involved in fulfilling your Order, or where required by law. We expect the same confidentiality from you in respect of our pricing, methods, and Supplier information.

Termination

Either party may end an engagement where the other materially breaches these terms and fails to remedy the breach within a reasonable period. On termination, you remain liable for Services performed, Supplier commitments made, and costs incurred on your behalf up to the date of termination.

Governing law & disputes

These terms and any dispute arising from them are governed by the laws of the jurisdiction stated below, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute amicably; failing that, disputes are subject to the courts or arbitration forum specified below.

Changes to these terms

We may update these Terms & Conditions from time to time. The version published on silkydo.com at the time you place an Order applies to that Order. Material changes take effect when posted, and your continued use of the website or Services after posting constitutes acceptance.
